Fee & Service Agreement

Non-Circumvention Clause

You agree that if, for a period of thirty-six months (36) from the date of this Agreement, you secure any direct financing from any lender/Investor Partner introduced by Turquoise Financing and its Affiliates, you shall compensate Turquoise Financing a commission of 1% to 5% of the total amount funded as if the application was fully processed by Turquoise Financing.

This agreement shall remain valid for a period of thirty-six months from the date of signing this Agreement. The terms of this Agreement may only be changed in writing and signed by both parties. This Agreement is governed by the laws of the States of New York without regard to principles of conflicts of laws.

The parties irrevocably agree that the exclusion jurisdiction and venue for any litigation arising out of or relating to this Agreement or the services performed pursuant hereto shall be in the federal or state courts located in New York County, NY.

The Merchant and Owner(s)/Officers(s) identified above (individually, an "Applicant") each represents, acknowledges, and agrees that:

1. All information provided and documents provided to Turquoise Financing ("Company") are true, accurate, and complete.

2. Applicants will immediately notify the company of any change in such information of financial condition.

3. Applicants authorize Company to disclose all information and documents that Company may obtain, including credit reports, to other persons or entities (collectively, "Assignees") that may be involved with or acquire commercial loans or purchases of future receivables, including Merchant Cash Advance Transactions, including without limitation the application therefore (collectively, "Transactions"), and each assignee is authorized to use such information and documents with other Assignees, in connection with potential Transactions.

4. Each Assignee will rely upon the accuracy and completeness of such information and documents.

5. Company, Assignees, and each of their representatives, successors (collectively, "Recipients") are authorized to request and receive any investigative reports, credit reports, statements from creditors or financial institutions, verification of information, or any other information that a recipient deems necessary.

6. Applicant waives and releases claims against Recipients and any information providers arising from any act or omission relating to the requesting, receiving, or releasing of information.

7. Each Owner/Officer certifies that he or she is authorized to sign this form on behalf of the Merchant.
